By accessing or using the Peralta Group, Inc. website and client portal (collectively, the "Service"), you agree to be bound by these Terms of Use. If you do not agree to these terms, you must not use the Service. Peralta Group, Inc. reserves the right to update these terms at any time; continued use following notification of changes constitutes acceptance.

2. Eligibility and Account Registration

You must be at least 18 years of age and have the legal authority to enter into contracts on behalf of yourself or your organisation to register for an account. By registering, you represent that all information provided is accurate and current. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity that occurs under your account.
• Notifying us immediately of any unauthorised use of your account.

3. Permitted Use

The Service is provided solely for legitimate business purposes related to engaging Peralta Group, Inc. for engineering, consulting, manufacturing, and software services. You agree not to:

• Submit false, misleading, or fraudulent project information.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Use the Service to infringe the intellectual property rights of any third party.
• Upload files containing malware, viruses, or other harmful code.
• Scrape, harvest, or systematically extract data from the Service.

4. Quotations and Engagements

Quotations and pricing proposals delivered through the portal are valid for the period stated in the proposal and are subject to final confirmation by Peralta Group, Inc. No binding contract is formed until both parties have executed a written agreement or purchase order. All proposals are confidential and may not be shared with third parties without prior written consent.

5. Intellectual Property

All content on the Service — including text, graphics, logos, templates, and software — is the exclusive property of Peralta Group, Inc. or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without express written permission.

6. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. Peralta Group, Inc. makes no warranties, express or implied, regarding the accuracy, reliability, or availability of the Service, and disclaims all implied warranties of merchantability and fitness for a particular purpose to the maximum extent permitted by law.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Peralta Group, Inc. shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of your use of the Service, even if advised of the possibility of such damages. Our total liability for any claim shall not exceed the amount paid by you for the relevant service in the three months preceding the claim.

8. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms of Use or your use of the Service shall first be subject to a thirty (30) day informal resolution period, after which unresolved disputes shall be settled by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. You waive any right to participate in class-action lawsuits or class-wide arbitrations.

Arbitration hearings shall take place in Broward County, Florida. These Terms and all related matters are governed by the laws of the State of Florida, without regard to conflict of law principles. For claims not subject to arbitration, the parties consent to the exclusive jurisdiction of state and federal courts in Broward County, Florida.
